Financial Details of the Grindr Acquisition of PurposeMed

The Grindr PurposeMed deal values PurposeMed at $250 million upfront. The payment consists of:

  • $190 million in cash
  • $60 million in Grindr common stock
  • Up to $70 million in additional cash tied to PurposeMed’s 2027 performance

The additional payment, if earned, would be made in 2028.

The PurposeMed acquisition marks Grindr’s first major acquisition and represents a significant step in its broader expansion of Grindr health.

Grindr Freddie Acquisition Adds HIV Prevention Telehealth

PurposeMed owns Freddie, a physician-led telehealth and pharmacy platform focused on PrEP and HIV prevention. PrEP, or pre-exposure prophylaxis, is medication used by people who do not have HIV to reduce their risk of acquiring the virus.

Freddie was founded in Canada in 2020 and expanded into the US in 2024. According to Grindr, it has served more than 55,000 patients in the US and Canada and provides telehealth consultations, testing, prescriptions, and medication delivery.

Freddie expects to generate more than $80 million in revenue and more than $10 million in adjusted EBITDA in 2026, according to information provided by Grindr.

Grindr Health Will Expand PrEP Access

A key part of the Grindr acquisition of PurposeMed is making PrEP easier to access through the app for HIV prevention.

Grindr said US and Canadian users can already connect with Freddie through its Health Center for free or low-cost PrEP care. Users can connect with a clinician, get tested, and have medication delivered discreetly.

Under the expanded model of Grindr Health, users will be able to:

  • Learn about PrEP
  • Review coverage
  • Connect with clinicians
  • Arrange testing
  • Obtain prescriptions
  • Manage medication refills

Grindr says PrEP can reduce the risk of acquiring HIV through sex by up to 99% when taken as prescribed. The company estimates that about 400,000 US users currently indicate they take PrEP, while more than 2 million additional US users could benefit from it.

The company has also reported that users have ordered more than half a million free HIV self-test kits through its platform, with one-quarter of recipients saying they had never taken an HIV test before.

Grindr Health Center Builds on Existing Healthcare Strategy

The Grindr health expansion extends beyond the PurposeMed acquisition. Grindr launched Woodwork in 2025 and plans to bring Freddie together with the existing service under Grindr Health. The combination will add an established HIV prevention telehealth provider and pharmacy infrastructure to Grindr’s existing healthcare operations.

Grindr CEO George Arison said the company could have developed similar capabilities internally, but reaching the same scale could have taken two to three years. The Grindr acquisition of PurposeMed therefore gives Grindr access to existing clinical and pharmacy capabilities as it develops additional LGBTQ+ healthcare services.

The company expects its combined US telehealth and pharmacy business to generate more than $400 in monthly revenue per active patient.

The Grindr acquisition of PurposeMed is expected to close in Q4 2026. The Grindr Freddie acquisition could give users a more direct pathway to PrEP, testing, clinical care, prescriptions, and medication delivery through the platform.
