The precision medicine firm Tempus AI has announced a definitive agreement to acquire Personalis Biotech for approximately $1.5 billion. With the Personalis acquisition, Tempus gains direct ownership of advanced minimal residual disease (MRD) testing technology, which detects trace amounts of cancer in the bloodstream.
This Tempus AI Personalis acquisition significantly expands Tempus AI’s oncology portfolio by integrating Personalis’ high-sensitivity liquid biopsy technologies into its data-driven platform. With regulatory approvals and shareholder consent, the deal is expected to close in late 2026 or early 2027.
The Tempus AI acquisition of Personalis builds on a past collaboration established in November 2023, when Tempus initially invested in Personalis and began co-commercializing its diagnostic products. Before the Tempus Personalis merger announcement, Tempus already held a 12.5% stake in Personalis.
“Combining with Tempus gives us the scale, complementary capabilities and resources to accelerate innovation and deliver even greater value to patients, clinicians and biopharma partners,” said Chris Hall, Chief Executive Officer of Personalis.
Financial Details of The Tempus AI Personalis Acquisition Deal

- Offer Price: $16.25 per Personalis share.
- Premium: Represents a 5.6% premium over Personalis’s last closing price and a 28% premium over its 30-day volume-weighted average price.

The Role of Personalis’s Asset NeXT Personal MRD Test
A central driver behind the Tempus AI cancer diagnostics expansion is the Personalis NeXT Personal test.
What is Minimal Residual Disease (MRD) Testing?
- Minimal residual disease (MRD) refers to tiny traces of circulating tumor DNA (ctDNA) left in a patient’s bloodstream after surgery, chemotherapy, or immunotherapy.
- The NeXT Personal test builds a unique genetic profile for each patient’s cancer, enabling clinicians to identify residual tumor cells that are far too small to appear on standard imaging scans.
- Doctors can use simple, repeat blood tests to track whether a treatment is working or if cancer recurrence is developing early.
The MRD testing market is one of the fastest-growing segments in modern oncology due to growing clinical adoption, expanding Medicare reimbursement approvals, and a rising reliance on precision medicine.
“MRD is a large and rapidly growing market with the potential to truly transform how cancer patients are monitored, helping clinicians make faster and more informed decisions when cancer recurs,” stated Eric Lefkofsky, Chief Executive Officer of Tempus AI.
Tempus AI Personalis Acquisition & Patient Care
The Tempus Personalis merger carries widespread benefits across cancer care:
- For Patients: Access to ultrasensitive blood testing allows for earlier detection of cancer recurrence, potentially improving long-term survival rates.
- For Clinicians: Integrating AI analytics with liquid biopsies helps oncologists personalize post-treatment care plans more accurately.
- For Biopharma Partners: Combined genomic data speeds up clinical trial design and targeted drug discovery.
Regulatory and Shareholder Considerations
Despite the strategic fit, immediate market responses to the Tempus AI Personalis acquisition were mixed:
- Personalis shares tumbled approximately 12–13% immediately following the announcement.
- Tempus AI stock dropped nearly 8–9%.
Before closing in late 2026 or early 2027, the deal must navigate several hurdles like Personalis shareholder approval and customary regulatory clearances.
